Terms of Service

Please read these Terms of Service ("Terms") carefully before using WayPoint. By downloading, installing, or using WayPoint, you agree to these Terms. If you do not agree, please do not use the app.

WayPoint is developed and operated by SpcJenn LLC, a Florida limited liability company ("SpcJenn LLC," "we," "us").

1. Acceptance of Terms

By using WayPoint on any device, you confirm that you are at least 13 years old and agree to these Terms and to our Privacy Policy (plantapgo.com/privacy.html), which is part of these Terms. If you are under 18, you confirm that a parent or guardian has reviewed and agreed to these Terms. If you use WayPoint on behalf of a business or organization, you confirm that you have authority to accept these Terms for it.

2. What WayPoint Does

WayPoint is a multi-stop route planning app for Android and iPhone. It lets you:

• Plan trips with multiple stops and put them in an efficient order
• Add stops by typing them or sharing them from other apps
• Save frequently used addresses as Saved Places and reuse routes as Saved Routes
• Track progress by checking off completed stops, and review your Stop History
• Share routes and places with others using a link
• Open your navigation app (such as Google Maps, Apple Maps, or Waze) for turn-by-turn directions

WayPoint plans your stops. Your navigation app chooses the roads and provides the turn-by-turn directions. WayPoint does not provide turn-by-turn navigation itself.

3. Your License to Use WayPoint

SpcJenn LLC grants you a limited, non-exclusive, non-transferable, revocable license to download and use WayPoint on devices you own or control, for your personal use or for use in your own work or business (for example, making deliveries, visiting customers, or showing properties), in accordance with these Terms and the rules of the app store you downloaded it from.

You may not:

• Copy, modify, or create derivative works of WayPoint
• Reverse engineer, decompile, or disassemble WayPoint, except where the law expressly allows it
• Rent, lease, sell, sublicense, or redistribute WayPoint
• Use WayPoint to break any law, or in a way that interferes with others' use of the app
• Try to get unauthorized access to WayPoint or any system connected to it

4. Basic and Pro

WayPoint is available as a free version ("Basic") with certain limits, and an optional paid subscription ("Pro") that unlocks additional features and higher limits. The features and limits of each version are described in the app and may change over time.

5. Subscriptions, Billing, and Refunds

• Purchases through the app store. Pro is sold through the Apple App Store or Google Play. Your purchase is processed by Apple or Google and is also subject to their terms. SpcJenn LLC does not receive or store your payment information.
• Price and billing period. The price and billing period (for example, monthly or yearly) are shown in the app before you buy. Payment is charged to your App Store or Google Play account when you confirm the purchase.
• Automatic renewal. Subscriptions renew automatically at the end of each billing period unless you cancel at least 24 hours before the current period ends. Your account will be charged for renewal within 24 hours before the end of the current period.
• Canceling. You can manage or cancel your subscription at any time in your App Store or Google Play account settings. Deleting the app does not cancel a subscription. If you cancel, Pro stays active until the end of the period you already paid for.
• Free trials and promotions. If a free trial or introductory price is offered, the details are shown before you subscribe. Any unused part of a free trial ends when you buy a subscription. Promotional codes are redeemed through the App Store or Google Play.
• Price changes. If the subscription price changes, Apple or Google will notify you as required by their rules, and you can cancel before the new price takes effect.
• Refunds. Refunds are handled by Apple or Google under their refund policies. SpcJenn LLC cannot issue refunds for purchases made through the app stores.

6. Driver Safety

YOUR SAFETY IS YOUR RESPONSIBILITY. WayPoint is designed to be set up BEFORE you start driving.

• Plan your stops before you drive
• Do not type in or interact with WayPoint while your vehicle is moving
• Pull over safely if you need to change your route
• Always obey traffic laws, road signs, and road conditions, even if your directions say otherwise
• Use a phone mount and hands-free features where required by law

To the fullest extent allowed by law, SpcJenn LLC is not responsible for accidents, injuries, damage, traffic violations, or other incidents that happen while you use WayPoint or a navigation app.

7. Maps, Addresses, and Accuracy

WayPoint relies on information from you and from third parties, including Apple, Google, and the apps you share addresses from. Addresses, business locations, drive times, distances, and suggested stop order may be incomplete, out of date, or wrong. Roads, closures, traffic, and business hours change. Always use your own judgment, and check important details before you rely on them.

8. Shared Links and Your Content

The stops, places, routes, and notes you create in WayPoint ("Your Content") belong to you. When you use Share Route or Share Place, you choose who receives the link, and anyone with the link can see the stops in it. Only share information you have the right to share, and be thoughtful about sharing addresses of people's homes. You are responsible for Your Content and how you share it.

9. Third-Party Services

WayPoint works with services from other companies, including Apple Maps, Google Maps, Google Places, Waze, the Apple App Store, and Google Play. Your use of those services is governed by their own terms and privacy policies. SpcJenn LLC does not control them and is not responsible for their availability, accuracy, or how they handle your information. Some features require a navigation app to be installed on your device.

10. Intellectual Property

WayPoint, including its design, code, text, graphics, logo, and branding, is owned by SpcJenn LLC and protected by United States and international law. "WayPoint," the WayPoint logo, the tagline "Plan. Tap. Go.," and "SpcJenn" are trademarks of SpcJenn LLC. You may not use them without our written permission. These Terms do not give you any ownership rights in WayPoint.

11. Changes to WayPoint

We may update, change, suspend, or stop offering any part of WayPoint at any time. We will try to give reasonable notice of major changes. If we stop offering Pro, your access to Pro features will continue through the period you already paid for, or you may request a refund from Apple or Google under their policies.

12. Disclaimer of Warranties

WAYPOINT IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, TO THE FULLEST EXTENT ALLOWED BY LAW. SPCJENN LLC DOES NOT WARRANT THAT WAYPOINT WILL BE UNINTERRUPTED OR ERROR-FREE, THAT ROUTES, ADDRESSES, DRIVE TIMES, OR DISTANCES WILL BE ACCURATE, OR THAT WAYPOINT WILL MEET YOUR NEEDS. SPCJENN LLC DISCLAIMS ALL IMPLIED WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. SOME JURISDICTIONS DO NOT ALLOW THESE EXCLUSIONS, SO SOME OF THEM MAY NOT APPLY TO YOU.

13. Limitation of Liability

TO THE FULLEST EXTENT ALLOWED BY LAW, SPCJENN LLC AND ITS MEMBERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF DATA, PROFITS, OR BUSINESS, ARISING FROM YOUR USE OF OR INABILITY TO USE WAYPOINT, EVEN IF WE WERE TOLD THESE DAMAGES WERE POSSIBLE.

SPCJENN LLC'S TOTAL LIABILITY FOR ALL CLAIMS RELATED TO WAYPOINT WILL NOT EXCEED THE AMOUNT YOU PAID FOR WAYPOINT PRO IN THE TWELVE (12) MONTHS BEFORE THE CLAIM, OR TEN U.S. DOLLARS (US $10) IF YOU HAVE NOT PAID ANYTHING.

Nothing in these Terms limits liability that cannot be limited by law.

14. Indemnification

You agree to defend, indemnify, and hold harmless SpcJenn LLC and its members, employees, and agents from claims, damages, losses, and expenses (including reasonable attorneys' fees) arising from your misuse of WayPoint, Your Content, or your violation of these Terms or any law.

15. Termination

You may stop using WayPoint at any time by deleting it (remember to cancel any subscription in your app store account). We may suspend or end your right to use WayPoint if you seriously or repeatedly break these Terms. Sections 8 and 10 through 18 continue to apply after termination.

16. Governing Law

These Terms are governed by the laws of the State of Florida, without regard to its conflict-of-law rules. Any dispute arising from these Terms or WayPoint will be handled exclusively in the state or federal courts located in Florida, unless the law where you live requires otherwise.

17. Apple App Store Terms

If you downloaded WayPoint from the Apple App Store, the following also applies:

a. These Terms are between you and SpcJenn LLC only, not Apple Inc. ("Apple"). SpcJenn LLC, not Apple, is solely responsible for WayPoint and its content.

b. Your license to use WayPoint is limited to use on Apple-branded products that you own or control, as allowed by the Usage Rules in the Apple Media Services Terms and Conditions, except that WayPoint may also be used by other accounts associated with you through Family Sharing or volume purchasing.

c. SpcJenn LLC alone is responsible for providing maintenance and support for WayPoint. Apple has no obligation to provide any maintenance or support.

d. If WayPoint fails to conform to any applicable warranty, you may notify Apple, and Apple will refund the purchase price (if any) for WayPoint. To the maximum extent permitted by law, Apple has no other warranty obligation with respect to WayPoint. Any other claims, losses, liabilities, damages, costs, or expenses caused by any failure to conform to a warranty are SpcJenn LLC's responsibility, to the extent not disclaimed in these Terms.

e. SpcJenn LLC, not Apple, is responsible for addressing any claims by you or a third party relating to WayPoint or your possession and use of it, including (i) product liability claims; (ii) any claim that WayPoint fails to conform to any applicable legal or regulatory requirement; and (iii) claims arising under consumer protection, privacy, or similar laws.

f. If a third party claims that WayPoint or your possession and use of it infringes that third party's intellectual property rights, SpcJenn LLC, not Apple, will be solely responsible for the investigation, defense, settlement, and discharge of that claim.

g. You represent and warrant that (i) you are not located in a country that is subject to a U.S. Government embargo or that has been designated by the U.S. Government as a "terrorist supporting" country; and (ii) you are not listed on any U.S. Government list of prohibited or restricted parties.

h. You must comply with applicable third-party terms of agreement when using WayPoint.

i. Apple and Apple's subsidiaries are third-party beneficiaries of these Terms. Once you accept these Terms, Apple will have the right (and will be deemed to have accepted the right) to enforce these Terms against you as a third-party beneficiary.

j. Questions, complaints, or claims about WayPoint should be directed to SpcJenn LLC using the contact information in Section 19.

18. General

• Changes to these Terms. We may update these Terms from time to time. When we do, we will update the Effective Date at the top, and we will note significant changes in the app's release notes. Continuing to use WayPoint after an update means you accept the updated Terms.
• Severability. If any part of these Terms is found unenforceable, the rest stays in effect.
• No waiver. If we don't enforce part of these Terms right away, we can still enforce it later.
• Assignment. You may not transfer these Terms to anyone else. We may transfer them as part of a merger, sale, or reorganization of SpcJenn LLC.
• Entire agreement. These Terms and the Privacy Policy are the entire agreement between you and SpcJenn LLC about WayPoint.
